Terms of Service & Claiming Agreement: Content ID
Summary
This is an exclusive claiming agreement allowing us to monetize your recordings with Content ID, and supplements and is hereby incorporated into the General Terms of Use of Pets on Q, INC. This agreement applies to the content you are selecting for monetization with Pets on Q, INC.
Definitions
- You: The rights holder or legal representative of the content provided
- We: Pets on Q, INC
- Content ID: Services which fingerprint audio and video recordings (“Content”) and detect the use of such Content in videos or social media, provided by a third party affiliate
Guarantees & Warranties
You guarantee that you are the exclusive owner and/or have the full legal right to administer the copyrights in the provided Content.
Term
This is an “open ended” agreement which means either party has the right to decide when to terminate the relationship and stop the monetization.
Terminating this agreement will result in a termination of the monetization via claims. Either party may terminate this agreement at any time. Termination must be made in writing (an email will suffice).
Exclusivity & Transferability
This license is transferable, in the event you transfer, the transferee will remain subject to the terms and conditions set forth herein and in the General Terms of Use.
Earnings & Commissions
Once per quarter (and if we have received income totaling more than $100 from Content ID services for your Content) your earnings will be paid to you from Pets on Q, INC via direct deposit. Your paid earnings will be 60% of all income Pets on Q, INC receives through our Content ID partnership for your Content. If the amount is less than $100 we will roll it over to the next quarter.
Countries
The territorial settings are determined by you.
Quality Control & Questionable Content
We reserve the right to modify your Content based on best practices and industry style guides. Additionally, we reserve the right to refuse monetization of your Content based on the quality of video or questionable content.
Questionable content includes, but is not limited to, racist or politically sensitive lyrics or artwork, pornography, defamation, etc.
Copyright Infringement & Fraudulent Activity
We have strict policies when dealing with copyright infringement and fraudulent activities.
Copyright infringement includes but is not limited to:
- Monetization of Content you do not own and/or for which you are not authorized to monetize.
- Incorrect data, especially pertaining to copyright holders.
Fraudulent activity includes but is not limited to:
- Unauthorized use of tracks, artist names, trademarks, and other intellectual property.
In the event that we conclude that you have infringed any rights or violated any laws or regulations, we reserve the right, without liability to you, to immediately:
- Take down the offending or even all your releases.
You represent and warrant that you are eighteen years old or older (or, if not, that a parent or legal guardian will sign on your behalf) and that this Agreement does not in any way conflict with any existing commitments on your part. You further warrants and represents that you have the full right to enter into this Agreement without violating the legal or equitable rights of any third party.
You are responsible for all federal, state and local taxes and any other costs or expenses incurred in accepting any compensation from this agreement.
Nothing contained herein will constitute any obligation on the parties hereto to make any use of the rights set forth herein. This Agreement contains the entire understanding between the parties regarding the subject matter hereof and supersedes all prior understandings. No waiver, modification or addition to this Agreement shall be valid unless in writing and signed by the parties hereto. This Agreement shall be construed in accordance with the substantive laws of the state in which Pets on Q, INC’s place of business is located, without regard to that state’s conflict of laws rules.
